1. Acceptance of Terms

By accessing, browsing, or using the Yellow Labs website, services, consulting offerings, and Web3 infrastructure solutions (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our Services.

These Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Yellow Labs ("Company," "we," "us," or "our").

2. Description of Services

Yellow Labs provides professional Web3 consulting, smart contract auditing, OTC (Over-The-Counter) liquidity solutions, digital marketing, tokenomics advisory, and community growth services. We do not act as a broker, financial advisor, investment advisor, or portfolio manager.

Any information provided through our Services is for educational and informational purposes only and should not be construed as financial, legal, or investment advice. Users must conduct their own due diligence before engaging in any blockchain or cryptocurrency-related activities.

3. User Obligations and Conduct

When using our Services, you agree to abide by all applicable local, national, and international laws and regulations. You further agree not to:

• Use the Services for any illegal or unauthorized purpose, including money laundering, terrorism financing, or evading sanctions.
• Attempt to bypass, circumvent, or exploit any security features, smart contracts, or infrastructure established by Yellow Labs.
• Provide false, inaccurate, or misleading information during onboarding or OTC compliance checks.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.

4. Intellectual Property Rights

Unless otherwise indicated, the Services, including source code, website design, audio, video, text, photographs, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein ("Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

Custom deliverables (such as whitepapers, custom smart contracts, or audit reports) provided to a client become the property of the client only upon full payment and in accordance with specific Master Service Agreements (MSAs) signed separately.

5. Confidentiality

We understand the sensitive nature of Web3 projects prior to launch. Yellow Labs agrees to maintain the confidentiality of all proprietary information disclosed by you during the consulting process. We will not disclose your confidential information to any third party except as required by law or as expressly authorized by you.

6. Limitation of Liability and Disclaimers

Disclaimer of Warranties

The Services are provided on an "as-is" and "as-available" basis. Yellow Labs expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that (i) the Services will meet your specific requirements, (ii) the Services will be uninterrupted, timely, secure, or error-free, or (iii) any token, smart contract, or protocol will hold monetary value or perform flawlessly on the blockchain.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Yellow Labs, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Services. In the context of smart contract audits, an audit does not guarantee that code is completely free of exploits or bugs.

7. Indemnification

You agree to defend, indemnify, and hold harmless Yellow Labs, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your smart contracts, tokens, or digital assets.

8. OTC and Liquidity Service Specific Terms

If you utilize our OTC or liquidity services, you agree to undergo rigorous KYC (Know Your Customer) and AML (Anti-Money Laundering) checks. Yellow Labs reserves the right to refuse service, terminate accounts, or cancel transactions at our sole discretion if compliance standards are not met or if suspicious activity is detected.

9. Modifications to Services and Terms

We reserve the right at any time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We also reserve the right to change these Terms at our sole discretion. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

10. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the jurisdiction in which Yellow Labs operates, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in that jurisdiction.
